TERMS AND CONDITIONS OF SALE

Payment: Invoices are payable in full within 15 days of the invoice date, unless otherwise explicitly agreed in writing or stated on the invoice. Payments should be made to the bank account specified on the invoice, mentioning the invoice number.

Late Payment: In case of non-payment by the due date, interest will automatically accrue without prior notice at the rate stipulated by the Belgian Law of 2 August 2002 on combating late payment in commercial transactions. Additionally, a fixed indemnity of 10% of the outstanding amount, with a minimum of €50, will be due as compensation for recovery costs, without prejudice to TDR MEDIA BV's right to claim higher compensation if actual damages are greater.

Complaints: Any complaints regarding this invoice must be submitted in writing by confirmed email) within 8 days of the invoice date. Failure to do so implies irrevocable acceptance of the invoice. Submitting a complaint does not suspend the payment obligation.

Retention of Title: All goods delivered remain the exclusive property of TDR MEDIA BV until full payment of the principal amount, interest, and costs has been received. The client bears all risks related to the goods from the time of delivery.

Liability: TDR MEDIA BV's liability is limited to the amount invoiced for the specific service or product giving rise to the claim, unless otherwise mandated by law. TDR MEDIA BV cannot be held liable for indirect or consequential damages.

Governing Law & Jurisdiction: These terms and conditions, and the agreement to which they relate, are governed exclusively by Belgian law. In case of disputes, the courts of the judicial district of Leuven shall have exclusive jurisdiction.

General Terms: These invoice terms supplement TDR MEDIA BV’s general terms and conditions, which the client acknowledges having received or consulted (e.g., via website link provided separately or on the quote/contract). In case of conflict, the general terms and conditions prevail, unless explicitly deviated from in writing.
